PART 1 — GENERAL INSTRUCTIONS
A. Introduction
Qualified individuals are invited to submit a proposal to Imlay City Community Schools (the “District”) for the provision of real estate broker services related to the District’s sale of a 1.03 acre parcel of real property located at 2061 S. Almont Avenue in the City of Imlay City, Lapeer County, Michigan, which property is more particularly described in Attachment “A”; formerly the Venture High School building in the Imlay City School district. The Property is zoned Class C Industrial-Light Manufacturing (I-1 LIG), and has building and other structural improvements, including an office suite and technology infrastructure.

B. Proposal Submission
Proposals must be received on or before 5:00 p.m., February 19, 2026. If you submit your Proposal via hard copy, please use an opaque, sealed envelope containing your Proposal and any supporting data to be submitted therewith, marked in the lower right-hand corner “Imlay City Community Schools – Real Estate Broker Services RFP”. If you submit your Proposal via email, please include the same language in the subject line of your email. If you submit your Proposal in any other manner, please similarly and clearly identify the purpose of your submission. The proposal should be sent to:

The District may choose, in its sole discretion, not to consider any Proposal received by the District after the date and time specified above. The party submitting a Proposal shall bear full and total responsibility for ensuring timely receipt of that Proposal.
Proposals may be withdrawn after submission, but only with written notice given to and received by the Director of Business prior to the submission deadline. Submitted proposals that are not timely withdrawn or modified shall be irrevocable for a minimum period of thirty (30) calendar days following the submission deadline. All submitted Proposals will become the property of the District and will not be returned.

F. Economy of Preparation
Proposals should be prepared simply, providing a concise description of the proposer’s ability to meet the requirements of this RFP. Please limit your proposal to the information requested in Part 3 – Proposal Details and Part 4 – Proposal Summary.
G. Proposal Signature
The section entitled, Part 4 – Proposal Summary, should be signed by the person responsible to decide the level of services and costs being offered.
H. Proposal Preparation Costs
All costs incurred in preparing the Proposal, providing reasonably requested or required presentations, or in negotiating applicable contracts shall be the sole responsibility of the proposer. The District shall not be responsible for, and will not pay, the cost for any information solicited or received.
I. Opening of Proposals
The Proposals will be opened on the date and time stated above, by the Superintendent of Schools, the Director of Business, or another individual or administrator authorized by Board of Education. No immediate decision will be rendered. To the extent permitted by law, Proposals will not be open to the public, nor disclosed to unauthorized persons prior to award of a Contract. However, after award of a Contract, all Proposals shall be open to public inspection, subject to any continuing disclosure prohibition under Michigan law.
J. Acceptance of
Proposal Contents
The contents of the selected Proposal will become contractual obligations upon issuance of a Contract, except to the extent of any particular provisions rejected by the District. Failure of the successful proposer to abide by such obligations, without the express consent of the District’s Board of Education, will result in cancellation of the award.
K. Performance Timeline
The District anticipates that the Property will be immediately listed for sale. Each proposer should identify whether (and if so why) an alternative timeline for listing the Property for sale may be beneficial to the District.
L. Collusive Bidding and Relationship Disclosures
Each proposer certifies that its Proposal is made without any previous understanding, agreement or connection with any person, firm, or company making a Proposal for the same project and is in all respects fair and without outside control, collusion, fraud, or other illegal action.
Each proposer shall submit a Familial Relationship Disclosure in substantially the form attached hereto as Attachment “B.”
Each proposer shall submit an Iran Economic Sanctions Act Certification in substantially the form attached hereto as Attachment “C.”
M. Contract
Each proposer shall submit a form of agreement governing the provision of services required by this RFP, which form shall be subject to further negotiation by the District. The proposer’s provision of services is conditioned upon the parties reaching agreement on terms.
